01 Agreement and scope

These Terms and Conditions (“Terms”) are an agreement between you and Patient Orbit (“Patient Orbit,” “we,” “us,” or “our”) concerning the Patient Orbit website, patient portal, and related services (collectively, the “Service”). Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.

If you use the Service through a healthcare provider, pharmacy, health plan, manufacturer program, or another organisation, additional notices or terms from that organisation may also apply. If these Terms conflict with a legally required healthcare privacy notice, the legally required notice controls for the protected information it covers.

02 What Patient Orbit provides

Patient Orbit offers a connected digital experience intended to help patients manage steps between receiving a prescription and starting treatment. Depending on availability and your care journey, the Service may allow you to:

• review, complete, and electronically sign consent or intake forms;
• view prior-authorisation status and respond to requests for information;
• explore potential copay or manufacturer savings support;
• view amounts due and make payments through authorised payment providers;
• compare indicative prescription prices;
• select or update a preferred pharmacy; and
• receive messages, tasks, and updates from participating care teams.

Features may differ by prescription, provider, pharmacy, payer, programme, location, or device. We may improve, add, suspend, or discontinue features where reasonably necessary.

03 Eligibility and accounts

You must be at least 18 years old, or the age of legal majority where you live, to create your own account. A parent, legal guardian, caregiver, or authorised personal representative may use the Service for another person only when legally authorised to do so. You agree to provide accurate, current information and promptly correct it when it changes.

Your login is personal. Keep credentials and verification codes confidential, use reasonable device security, and notify us promptly at support@patientorbit.com if you suspect unauthorised access. You are responsible for activity performed through your account to the extent permitted by law.

04 Important healthcare terms

Not medical advice or emergency care

Patient Orbit is an administrative and informational tool. It does not practise medicine, diagnose conditions, prescribe medication, establish a clinician-patient relationship, or replace advice from a licensed healthcare professional. Never disregard professional medical advice or delay seeking it because of information in the Service.

If you think you have a medical emergency, call 911 or your local emergency number immediately. Do not use Patient Orbit for urgent or emergency communications.

Clinical decisions and fulfilment

Your healthcare provider remains responsible for clinical decisions and prescriptions. Pharmacies control dispensing and fulfilment. Health plans and other payers determine coverage and prior-authorisation outcomes. Patient Orbit does not guarantee that a prescription will be issued, approved, covered, affordable, available, or dispensed by a particular date.

Medication information

Confirm medication, dosage, instructions, interactions, allergies, and pickup details with your prescriber or pharmacist. Do not start, stop, or change treatment based solely on content displayed in Patient Orbit.

05 Electronic records and signatures

By using electronic forms, you consent to receive, review, sign, and retain records electronically. Your electronic action may have the same legal effect as a handwritten signature. Before submitting, review each form carefully; the organisation that provided the form is responsible for its content.

You may withdraw consent to electronic records where the law allows. Withdrawal will not affect records already signed and may require you to complete the relevant process outside the Service. You are responsible for maintaining a device, internet connection, current browser, and an email address or phone number capable of receiving notices. You may print or save available records for your files.

06 Prices, savings, and payments

Medication prices, coverage estimates, copays, savings opportunities, and other cost information are estimates unless expressly stated otherwise. Actual amounts may change based on eligibility, insurance adjudication, pharmacy, location, stock, quantity, dosage, timing, programme rules, taxes, and other factors. Verify the final price with the pharmacy or relevant programme.

Copay cards and assistance programmes are governed by the sponsor’s terms and eligibility rules and may exclude government-funded insurance. Display of a programme does not guarantee eligibility or enrolment.

Payments may be processed by a third-party payment processor. You authorise the applicable charge and agree to provide valid payment information. Refunds, reversals, or billing disputes may be governed by the provider, pharmacy, programme, processor, or other payee identified at checkout. Patient Orbit does not store complete payment-card numbers unless the payment screen expressly says otherwise.

07 Acceptable use

You may use the Service only for lawful, personal healthcare-management purposes. You must not:

• access another person’s account without legal authority or misrepresent your identity or authority;
• submit information you know is false, misleading, infringing, or harmful;
• probe, scan, bypass, disrupt, or interfere with security or Service operation;
• introduce malware, automate access without permission, scrape, resell, or commercially exploit the Service;
• reverse engineer or attempt to obtain source code except where law expressly permits; or
• use the Service to harass others or violate privacy, intellectual-property, healthcare, or other laws.

08 Third-party services and communications

The Service may connect with or display information from providers, pharmacies, health plans, manufacturers, payment processors, identity-verification vendors, and other third parties. Their services, decisions, content, and availability are outside our control and may be governed by separate terms and privacy notices. A link or integration does not mean we endorse every third-party product or statement.

You may receive service-related email, text, push, or portal notices about account security, forms, prescriptions, authorisations, payments, or care-team updates. Message and data rates may apply. Delivery is not guaranteed. You may manage optional communications through available settings, but essential operational or legal messages may still be sent.

09 Intellectual property and feedback

The Service, including its design, software, text, graphics, logos, and arrangement, is owned by Patient Orbit or its licensors and protected by applicable law. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to use the Service. No other rights are granted.

You retain rights in information you submit. You grant us the rights reasonably necessary to host, process, transmit, and display it to operate, secure, and improve the Service as described in the Privacy Policy and applicable healthcare arrangements. If you provide feedback, we may use it without restriction or payment, provided we do not publicly identify you without permission.

10 Service disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Patient Orbit disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation; the accuracy, completeness, or timeliness of third-party information; or any specific clinical, coverage, price, approval, savings, payment, pharmacy, or treatment result.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

11 Limitation of liability

To the fullest extent permitted by law, Patient Orbit and its affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunities, arising from or related to the Service—even if advised of the possibility.

To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid directly to Patient Orbit for the Service in the 12 months before the event giving rise to the claim or (b) US $100. These limits do not exclude liability that cannot lawfully be limited, including where applicable liability for fraud, wilful misconduct, or personal injury caused by negligence.

12 Suspension, termination, and changes

You may stop using the Service at any time. You may request account closure by contacting support, subject to identity verification and legal or healthcare record-retention requirements. We may suspend or terminate access when reasonably necessary to protect users, comply with law, address security threats, prevent misuse, or respond to a material violation of these Terms.

We may update these Terms. We will post the revised version and update the effective date; where required, we will provide additional notice or obtain consent. Continued use after an update takes effect constitutes acceptance to the extent permitted by law.

13 General terms

These Terms and any additional terms presented for a specific feature form the entire agreement concerning the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganisation, financing, sale of assets, or by operation of law.

Applicable governing law and forum depend on the Patient Orbit legal entity that provides the Service to you, your location, and mandatory consumer or healthcare laws. Nothing in these Terms limits rights you cannot waive under applicable law.
